The valuation, defended from both sides

This is our own estimate and an opening position, not a market multiple.

Why not lower

The product is not a deck. A 50+ tool catalog, 10+ autonomous agents, 1,950+ pages of published content and nine native languages are already live and maintained. A lower entry price would value years of built work as if it were a prototype, and would leave the company under-capitalized at exactly the moment distribution has to be bought.

Why not higher

We have no revenue, no signed enterprise contracts and no cohort data, and we will not manufacture a seed comparable: neither Legora nor Spellbook publishes a seed valuation, and the figures that circulate for both are round sizes. What is published is later-stage, and it is evidence about the category rather than about this price. Legora raised a $10.5M seed in May 2024 led by Benchmark with no valuation disclosed (as reported by Artificial Lawyer, 16 May 2024, artificiallawyer.com/2024/05/16/…), and reached a $550M Series D at a $5.55B valuation led by Accel in under two years, with disclosed valuations of $675M at Series B in May 2025 and $1.8B at Series C in October 2025 along the way (Source: Legora, “Legora raises $550 million Series D to fuel US growth”, 10 March 2026, legora.com/newsroom/legora-raises-550-million-series-d-to-fuel-us-growth); its investor Bessemer reports $100M ARR in April 2026, 18 months after launch (Source: Bessemer Venture Partners, “Legora: The fastest enterprise business to reach $100M ARR”, 1 April 2026, bvp.com/atlas/legora-the-fastest-enterprise-business-to-reach-100m-arr). Those are the rounds of companies that already have customers and revenue; we have neither, which is why our own number is set on replacement cost rather than against them. We price where we do because traction is the one thing we cannot yet show, and because we want early investors to carry real upside. The $6M pre-money is our opening position, not a market print.

Runway

The round funds 18 months. That window is sized to reach $1M ARR and the Series A trigger: two to three commercial hires covering Mexico, Colombia, Brazil, Peru, Argentina and Iberia; the paywall and subscription gating that turn free users into accounts; the Word and Outlook add-ins; and the SOC 2 and ISO readiness work that a regulated buyer asks for before signing. At the minimum viable close of $750,000 the same 18 months are funded, with the commercial hiring staged rather than simultaneous.

What we are not raising for

We are not raising to build the product — it is built and running. We are not raising to fund a rebrand, an office, a conference circuit for its own sake, or a headcount number. We are not raising to buy a legal-research corpus: our position is that corpora commoditize and expertise compounds, and we would rather spend the money on the people who sell and the compliance that lets them. And we are not raising bridge capital to postpone a decision — if the round does not close, the services and one-time product lines continue to fund the company at a slower pace.

Minimum viable close and timing

The round closes on a rolling basis through Q3 2026. $750,000 is the minimum viable close: below it the round does not proceed and no committed funds are called. Above it, each additional ticket shortens the time to the commercial hires rather than changing the plan.

Relationship to the CEMI.ai group round

Each initiative raises at its own level, for its own plan. CEMI.ai raises at group level, for the shared platform, the labs and the pipeline that every initiative is built on. An investor may enter at either level, and the two amounts are complementary, not alternatives: money into an initiative funds that company’s plan, money into the group funds the machinery all of them run on.
